3. Client Engagements and Contract Priority

Client services are governed by the applicable engagement letter, master services agreement, statement of work, order form, or other written agreement. If these Terms conflict with a signed client agreement, the signed client agreement controls with respect to the client services.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF BEANKEEPER AND THE OTHER RELEASED PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID BEANKEEPER, IF ANY, SPECIFICALLY FOR ACCESS TO THE WEBSITE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT ALTER LIABILITY EXPRESSLY ACCEPTED IN A SIGNED CLIENT AGREEMENT.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Beankeeper and its officers, directors, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your unlawful use of the website, your material violation of these Terms, or your infringement of another person's rights. This obligation does not apply to the extent a claim results from Beankeeper's own unlawful conduct.
16. Suspension or Termination
We may suspend, restrict, or terminate access to the website when reasonably necessary to protect the website, users, Beankeeper, or third parties; respond to suspected violations; comply with law; or discontinue the website. Provisions that by their nature should survive will remain in effect.

Subject to any controlling signed client agreement and any nonwaivable law, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from or related to the website or these Terms, and you consent to their personal jurisdiction.
19. General Terms
These Terms and the Privacy Policy are the entire agreement concerning use of the public website, but they do not replace a signed client agreement. If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, sale, or transfer of the website or business. Headings are for convenience only.
